Threekit Legal Docs FAQ
This document is intended to be an introduction to Threekit’s Master Subscription Agreement (“MSA”) and Order Forms (“OF”) to the MSA and to Threekit’s Professional Services Agreement (“PSA”) and Statements of Work (“SOW”) to the PSA. It is not intended to be a legally binding document or incorporated into any of our standard legal documents, but hope it will be helpful to new customers who are reviewing our legal terms for the first time.
What Does Threekit AI Do?
Threekit is a product discovery solution that uses AI-powered visual search and personalization to guide shoppers to the perfect product using an AI LLM. Our platform also enables brands to create interactive 3D product configurators, augmented reality experiences, and photorealistic visuals at scale.
What Customer Information Does Threekit AI Collect & Store?
Threekit AI treats all visitor data as anonymous. Customers can use our advanced analytics to see what activities visitors do while interacting with our solution, but it can’t be tied back to any individual data or personally identifiable information (“PII”). The only PII Threekit AI captures and stores is customer login info, such as name and email addresses of admin users. The product content Threekit stores is exclusively product info used to display recommended products to visitors or configure those products.
Does Threekit AI Use Customer Data to Train its LLM?
Threekit AI does not use user or customer information to train its AI LLM.
Is Each Customer’s Data Stored Separately?
Threekit AI operates in a multi-tenant architecture, with customer data logically isolated by organization. Any aggregated analytics are designed to avoid inclusion of direct personal identifiers. Customer data is encrypted in transit and at rest.
Who Owns the Data?
We agree that all customer data remains property of our customers, and we are given a license to use that content solely to deliver the services agreed in the MSA & PSA. To the extent a customer provides us feedback or suggestions for improving the Threekit solution, however, we ask customers to give us a license to them so that we can implement those improvements for all our customers.
What Are the Liability Limits Threekit AI is Agreeing To?
Both parties agree to limit their liability to the previous 12-month contract value, with certain exceptions. For example, each party agrees to unlimited liability for any indemnification claims .
Do Threekit’s Standard Legal Documents Include a Service Level Agreement?
Our solution runs on Google Cloud, and we have a history of >99.9% uptime. We have not included SLAs in our standard terms but are happy to discuss adding them for an additional price.
Why is a Data Processing Agreement (“DPA”) Included as Exhibit 3 of the MSA?
As the Description of Transfer section of Annex 1 to the DPA details, there is some personal information, particularly for admin users, that Threekit processes in the course of providing the solution. Customers, especially those located in the EU, therefore have requested DPAs. Operationally, though, Threekit cannot agree to customer-provided DPAs. The solution is multi-tenant. So, Threekit needs to have the same commitments with each customer since it will be operating the solution for all customers.
Why Are the MSA & PSA Separate Documents?
The MSA governs the access and use of the Threekit AI solution. OFs are subject to the terms of the MSA for specific subscription packages. The PSA applies only if a customer also desires to receive Threekit’s assistance with implementations of the Threekit AI solution. SOWs are subject to the terms of the PSA for individual projects. Those services can be completed internally by customers, by Threekit (under the PSA and an SOW), or by a 3rd party solution integrator. So, not all customers require Threekit’s professional services and therefore do not need to enter into the PSA.
What Is Threekit’s Insurance Coverage?
Threekit maintains all the required insurance coverage required by law, including commercial, general, property, auto and workers comp. We have $3 million in Tech E&O coverage and a $5 million umbrella policy.
